Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BAS Pro service ("BAS Pro", "the Service") operated by Next Level Accountants (Aus) Pty Ltd ("we", "our", "us").
By creating an account, signing in, or using BAS Pro in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
BAS Pro is a software-as-a-service application that helps qualified Australian accounting professionals prepare Business Activity Statements (BAS) and Instalment Activity Statements (IAS) for their clients. The Service connects to your authorised Xero organisations, reads accounting and payroll data, performs reconciliation and anomaly detection, generates AI-assisted commentary, and produces Excel and PDF working papers for your review and lodgement.
BAS Pro is a calculation and presentation tool. It is not a substitute for professional judgement, and the figures it produces are not tax, financial, accounting, or legal advice. You — the qualified practitioner — remain solely responsible for reviewing the output, applying professional judgement, signing off on the figures, and lodging accurate statements with the Australian Taxation Office (ATO).
2. Eligibility and account
- You must be at least 18 years old and authorised to bind your accounting practice to these Terms.
- You must be a qualified accounting professional, registered tax agent, BAS agent, or working under the supervision of one.
- You must provide accurate and current information when creating your account, and update it when it changes.
- You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity under your account.
- You must notify us promptly of any unauthorised access to your account.
3. Free trial
New accounts receive a 14-day free trial with full access to BAS Pro's features, beginning on the day you create your account. No payment information is required to start the trial.
At the end of the 14 days, you will lose access to BAS/IAS generation unless you start a paid subscription. Your account and data are retained for 30 days after trial expiry, after which they are permanently deleted unless you have subscribed.
Free trials are limited to one per accounting practice. We reserve the right to refuse or terminate trials that we reasonably believe are being abused.
4. Subscription, billing, and cancellation
- Paid subscriptions are billed in advance through Stripe. Card data is handled by Stripe under PCI-DSS — we do not see or store your card details.
- If you start a paid subscription during your free trial, billing begins on the day your trial ends. The trial days you have remaining at the time of subscription are preserved.
- Subscriptions renew automatically at the end of each billing period unless cancelled.
- You may cancel your subscription at any time from the Billing & Subscription page. Cancellation takes effect at the end of the current billing period; you retain access until then.
- We do not provide refunds for partially used billing periods, except where required by law (including the Australian Consumer Law).
- If a payment fails, we will attempt to retry. If the subscription remains unpaid for 7 days, BAS/IAS generation will be suspended. After 30 days of non-payment, the account is treated as cancelled.
- Prices may change with at least 30 days' notice to active subscribers. Existing billing periods are honoured at the original price.
5. Your responsibilities
You agree:
- To use the Service only for lawful purposes consistent with the preparation of Australian BAS and IAS statements.
- To ensure the data in your connected Xero organisations is accurate and properly authorised by the underlying business.
- To obtain any necessary consents from the businesses whose Xero data you connect, including consent to share their data with BAS Pro and the third-party processors listed in our Privacy Policy.
- To review every BAS/IAS run before lodging — applying professional judgement, validating figures against source documents, and confirming compliance with current ATO rules.
- To keep your sign-in credentials confidential and to report any suspected unauthorised access.
- To use team invitations and role-based access only for genuine staff members of your practice.
- To comply with all applicable laws, including the Privacy Act 1988 (Cth), the Tax Agent Services Act 2009, and your professional body's code of conduct.
6. Acceptable use
You must not:
- Reverse engineer, decompile, or attempt to extract source code from the Service.
- Use BAS Pro to process data for which you do not have lawful authorisation.
- Attempt to gain unauthorised access to other tenants, our systems, or our third-party processors.
- Submit content that is unlawful, defamatory, infringing, or otherwise objectionable.
- Resell, sublicense, or commercially exploit the Service beyond your own accounting practice without our prior written consent.
- Use the Service to develop a competing product.
- Circumvent the trial limitation, billing, or rate limits.
- Interfere with or disrupt the Service's operation.
7. Intellectual property
We retain all right, title, and interest in BAS Pro, including the software, designs, logos, and documentation. These Terms do not grant you any ownership rights — only a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms while your subscription is active.
You retain all right, title, and interest in your data — your Xero organisation data, BAS/IAS calculations performed for you, and any content you upload. By using the Service, you grant us a limited licence to process your data solely for the purpose of operating BAS Pro for you.
8. AI-generated commentary disclaimer
BAS Pro generates partner sign-off commentary using Anthropic's Claude AI. AI commentary is intended as a starting point only. It may contain errors, omissions, or generic statements that do not reflect your professional view. You must review every piece of AI-generated text before using it in client communications or in any document you sign as an accountant.
We do not train any AI or machine-learning model on your data, including data we read from Xero. Aggregated BAS / IAS figures are sent to Anthropic for inference only and are not retained by Anthropic for training under their commercial API terms. This commitment matches Xero's developer terms (December 2025 / March 2026 revisions), which prohibit training models on Xero API data. 9. Service availability
We aim to keep BAS Pro available 24/7 but we do not guarantee uninterrupted access. We may take the Service down for scheduled maintenance, urgent security patches, or in response to events beyond our control. Where possible, we will give advance notice of scheduled maintenance.
BAS Pro depends on third-party services (Xero API, Anthropic, Stripe, SendGrid, Microsoft Azure). Outages or rate limits in those services may temporarily affect specific BAS Pro features.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
BAS Pro does not provide tax, financial, accounting, legal, or business advice. The figures, commentary, anomaly flags, and reports BAS Pro produces are tools to support your work as a qualified practitioner — not advice you can rely on without independent professional review.
Nothing in these Terms excludes or limits any consumer guarantees or rights you have under the Australian Consumer Law that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by law, our total liability to you in connection with the Service — whether in contract, tort (including negligence), or otherwise — is limited to the amount you have paid us for the Service in the 12 months preceding the event giving rise to the liability.
We are not liable for any indirect, consequential, or special damages, including loss of profits, loss of revenue, loss of data, ATO penalties, business interruption, or reputational damage, even if we have been advised of the possibility of such damages.
You acknowledge that BAS Pro is a tool and that you, the qualified practitioner, remain solely responsible for the accuracy of every BAS or IAS lodged using it. We are not liable for ATO assessments, penalties, interest charges, or rejected lodgements arising from your use of the Service.
12. Indemnity
You indemnify us against any claim, loss, damage, cost, or expense we suffer arising from: (a) your breach of these Terms; (b) your misuse of the Service; (c) your failure to obtain necessary consents from the businesses whose data you connect; or (d) any BAS/IAS lodgement made on the basis of BAS Pro's output.
13. Termination
You may cancel your subscription at any time from the Billing page. We may suspend or terminate your access to the Service immediately if:
- You materially breach these Terms;
- You fail to pay subscription fees that remain unpaid after 30 days;
- We are required to do so by law or by Xero (e.g. if your Xero developer account is suspended);
- We reasonably believe your use of the Service poses a security or legal risk to us or our other customers.
On termination, your right to use the Service ceases immediately. Data is retained and then deleted in accordance with our Privacy Policy.
14. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date will change. For material changes, we will notify active subscribers by email at least 14 days before the change takes effect. Your continued use of the Service after the change constitutes acceptance.
15. Governing law
These Terms are governed by the laws of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria for any dispute arising out of these Terms or the Service.
